These Terms & Conditions constitute a legally binding agreement between you and A4TEAM INC. By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree, you must not use our services.
Introduction and Acceptance
Welcome to A4TEAMS. These Terms & Conditions ("Terms," "Agreement") govern your access to and use of the A4TEAMS platform, software, websites, APIs, and all related services (collectively, the "Platform" or "Services").
This Agreement is entered into between:

- You, the individual or entity accessing or using our Services ("Client," "Customer," "you," or "your")
By creating an account, accessing our Platform, or using our Services in any manner, you:

- Represent that you have the legal capacity to enter into this Agreement (if an individual, you are at least 18 years old)
- If representing a business entity, represent that you have the authority to bind that entity to this Agreement
- Agree to comply with all applicable laws and regulations in your use of our Services
1. Services Description
1.1 Platform Overview
A4TEAMS provides a Software as a Service (SaaS) platform designed to help small and medium-sized businesses manage marketing, sales, customer relationships, and business growth. Our Platform includes:
Core CRM and Contact Management
- Customer relationship management (CRM) system
- Contact database and lead organization
- Sales pipeline management with customizable stages
- Appointment scheduling and calendar integration
- Task management and follow-up reminders
Marketing Automation
- Email campaign creation, scheduling, and delivery
- SMS marketing and text message automation
- Automated workflow builders (drip campaigns, follow-up sequences)
- Email and SMS template libraries
- Campaign analytics (open rates, click-through rates, conversions)
Website and Content Tools
- AI-powered website builder and content generation
- Landing page creator with drag-and-drop editor
- Blog post generation and SEO optimization
- Custom domain hosting and SSL certificates
- Website analytics and visitor tracking
Communication and Engagement
- Missed call automation and auto-reply systems
- Two-way SMS and email conversations
- Unified inbox for all client communications
- Call tracking and recording (where legally permitted)

1.2 Software Consulting Services
In addition to our SaaS Platform, A4TEAMS offers custom software consulting and development services, including:

- Workflow automation design and implementation
- Data migration from legacy systems
- Training and onboarding for teams
1.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any feature or functionality of the Platform at any time, with or without notice. We will make reasonable efforts to notify you of material changes that negatively impact your use of the Services.
2. Account Registration and Responsibilities
2.1 Account Creation
To use our Platform, you must create an account by providing:
- Accurate and complete registration information (name, email, business details)
- A valid payment method for subscription billing
- Acceptance of these Terms and our Privacy Policy
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
- Use a strong, unique password and enable multi-factor authentication (MFA) when available
- Not share your credentials with any third party
- Immediately notify us of any suspected unauthorized access at security@a4teams.com
- Log out at the end of each session, especially on shared or public computers
You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to comply with account security obligations.
3. Acceptable Use Policy
You agree to use our Platform only for lawful purposes and in accordance with this Acceptable Use Policy.
3.1 Prohibited Content
You may not upload, transmit, store, or distribute content that:
- Is illegal, fraudulent, defamatory, obscene, pornographic, or otherwise objectionable
- Infringes upon intellectual property rights or proprietary rights of others
- Contains viruses, malware, ransomware, or other harmful code
- Violates privacy rights or publicity rights of any third party
- Constitutes unsolicited advertising, spam, or junk mail
- Promotes violence, terrorism, hate speech, or discrimination
3.2 Prohibited Activities
You may not engage in activities that:
- Violate any applicable law or regulation
- Send unsolicited communications (spam) in violation of CAN-SPAM Act, GDPR, or anti-spam laws
- Engage in phishing, social engineering, or fraudulent schemes
- Harvest, scrape, or collect user data without authorization
- Interfere with or disrupt the Platform's integrity, performance, or security
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse engineer, decompile, or disassemble the Platform
- Resell, sublicense, or redistribute our Services without authorization
3.3 Email and SMS Compliance
If you use our email or SMS marketing features, you agree to:
- Comply with CAN-SPAM Act (U.S.), CASL (Canada), GDPR (EU), and TCPA (U.S.)
- Obtain proper consent from recipients before sending commercial messages
- Include clear opt-out mechanisms in all marketing communications
- Honor opt-out requests within legally required timeframes
- Not purchase, rent, or use third-party lists without verified opt-in consent
- Include accurate sender information and subject lines
Violation of email or SMS compliance rules may result in immediate account suspension and legal liability. You are solely responsible for ensuring compliance.
4. Intellectual Property Rights
4.1 A4TEAMS Ownership
The Platform and all related technology, software, designs, trademarks, logos, and content are owned exclusively by A4TEAM INC or our licensors. All rights, title, and interest in A4TEAMS IP remain with A4TEAMS.
4.2 License to Use Platform
Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.
This license does not permit you to:
- Copy, modify, adapt, translate, or create derivative works
- Reverse engineer, decompile, or disassemble the Platform
- Sell, resell, rent, lease, sublicense, or redistribute the Platform
- Remove, obscure, or alter proprietary notices or branding
- Use the Platform to build a competing product
4.3 Client Data Ownership
You retain all ownership rights to the data and content you upload, create, or store within the Platform ("Client Data").
By uploading Client Data, you grant us a limited, worldwide, non-exclusive license to:
- Host, store, and process Client Data to provide the Services
- Use Client Data to generate analytics and insights for your account
- Backup and replicate Client Data for disaster recovery
- Create anonymized, aggregated data for service improvement (not identifiable to you)
This license terminates when you delete Client Data or close your account. We do not claim ownership of Client Data.
5. Pricing, Payment, and Billing
5.1 Subscription Plans
Our Platform is offered on a subscription basis with multiple pricing tiers. Current pricing is available at https://a4teams.com/pricing.
5.2 Billing and Payment Terms
Payment terms:
- Billing Cycle: Monthly or annual, as selected during signup
- Payment Method: Credit card, debit card, or ACH (where available)
- Automatic Renewal: Subscriptions renew automatically unless canceled
- Currency: All prices in U.S. Dollars (USD)
- Taxes: Prices exclude applicable sales tax, VAT, GST (added at checkout)
5.3 Usage-Based Charges
Certain features incur additional charges:
- SMS messages: Charged per message sent (rates vary by country)
- Email sends: Charged per email sent beyond monthly allowance
- Phone calls: Inbound/outbound calling charged per minute
- Premium add-ons: White-label branding, advanced integrations
5.4 Price Changes
We reserve the right to change subscription prices. Price changes:
- Will not affect your current billing cycle
- Will be communicated via email at least 30 days before taking effect
- Will apply to renewals after the notice period
5.5 Refund Policy
Monthly Subscriptions
- No refunds for partial months
- Cancel anytime; access continues until the end of the current billing period
Annual Subscriptions
- 30-day money-back guarantee for new customers (first-time purchases only)
- After 30 days, no refunds for unused time
- Pro-rated refunds may be issued at our discretion in exceptional circumstances
Usage-Based Charges
- No refunds for SMS, email, or phone usage charges
- Charges are based on actual usage and cannot be reversed
6. Warranties and Disclaimers
6.1 Limited Warranty
We warrant that the Platform will perform substantially in accordance with our published documentation under normal use.
6.2 Disclaimer of Warranties
EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE PLATFORM IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING:
- MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
- WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
7. Limitation of Liability
7.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, A4TEAMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- LOSS OF GOODWILL OR REPUTATION
- BUSINESS INTERRUPTION OR DOWNTIME
- COST OF SUBSTITUTE SERVICES
- DAMAGES FROM SECURITY BREACHES, DATA LOSS, OR UNAUTHORIZED ACCESS
7.2 Cap on Total Liability
A4TEAMS'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF:
- THE TOTAL AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR
- $1,000 USD
8. Term, Termination, and Suspension
8.1 Termination by Client
You may terminate this Agreement at any time by:
- Canceling your subscription through account settings
- Sending written notice to support@a4teams.com
Upon cancellation:
- Your access continues until the end of your current billing period
- No refunds are provided for unused time (except as stated in Section 5.5)
- You have 30 days to export your data before permanent deletion
8.2 Termination by A4TEAMS
We may terminate or suspend your account immediately if:
- You violate these Terms or our Acceptable Use Policy
- Your payment is more than 30 days overdue
- We detect fraudulent, abusive, or illegal activity
- You attempt to reverse engineer or hack the Platform
- We are required to terminate by law or court order
9. Dispute Resolution and Governing Law
9.1 Informal Resolution
Before initiating formal dispute resolution, contact us at legal@a4teams.com to attempt informal resolution. We will work in good faith to resolve disputes within 30 days.
9.2 Binding Arbitration
Any claim or controversy will be resolved by binding arbitration, except as noted below.
Arbitration Rules:
- Administered by American Arbitration Association (AAA) under Commercial Arbitration Rules
- Conducted by a single neutral arbitrator
- Governed by the Federal Arbitration Act
9.3 Class Action Waiver
YOU AND A4TEAMS AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION.
9.4 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
10. General Provisions
10.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and A4TEAMS regarding the Platform.
10.2 Amendments
We may modify these Terms at any time. Material changes will be communicated via email or in-Platform notification 30 days before taking effect.
10.3 Assignment
You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
10.4 Severability
If any provision is found invalid, the remaining provisions remain in full force and effect.
10.5 Export Compliance
You agree to comply with all U.S. export control laws. You may not use the Platform if you are located in a country subject to U.S. embargo.
